Areas of Practice
Warrick & Boyn, LLP has experience that few other firms possess obtaining, selling, transferring, and protecting alcohol licenses. Working through State and Federal laws can be complicated, but we can help. We cover all the bases from helping small business owners achieve their dreams of owning a restaurant or microbrewery, to representing multi-state companies acquire and protect permits.
Business and Commercial Law
We are experienced in organizing businesses, the merger, acquisition and sale of businesses, business contracts and warranties, shareholder and redemption agreements.
We consult with businesses about business strategy, expansion, restructuring, marketing, exporting, risk management, customer relations and other operational issues.
Creditors’ and Bankruptcy Rights
We advise companies in securing and enforcing their commercial transactions; and represent creditors, debtors and committees in bankruptcy proceedings, such as Chapter 11 reorganizations and Chapter 7 liquidations. We have an extensive bankruptcy litigation practice.
We advise businesses on environmental compliance and environmental aspects of acquiring real estate and corporate assets, represent Potentially Responsible Parties in CERCLA remedial actions, and practice before the U.S. Environmental Protection Agency and state and local environmental agencies.
We assist clients in valuing and analyzing assets, and in planning for gift, estate and income taxes. We counsel clients who wish to maintain continuity of ownership and preserve assets in closely held businesses, draft wills and trusts, and probate estates.
We are experienced municipal and school corporate counsel and represent various governmental agencies. We represent clients before planning and zoning boards, in eminent domain matters and before regulatory agencies.
Labor and Employment Relations
We advise and represent unionized and non-unionized employers in all aspects of personnel, employee relations and labor law, including discrimination claims, unfair labor practices, arbitrations, union-organizing campaigns, strikes, negotiations, wage and hour matters, immigration issues, workers’ compensation, employee terminations, personnel manuals and policies, drug testing, and health and safety concerns.
We represent clients before state and federal trial and appellate courts and administrative agencies, including bankruptcy and tax courts, EEOC, NLRB and other labor agencies.
